1. Acceptance of Terms

These terms of use are entered into by and between you and DOT Compliance Group, LLC. The following terms and conditions (“Terms”) govern your access to and use of our Text Messaging Service (defined below), including any content, functionality, and services offered on or through the Text Messaging Service.

Please read the Terms carefully before you start to use the Text Messaging Service. By Opting In (defined below) to or using a Text Message Service, you accept and agree to be bound by these Terms, along with our general Terms of Use and Privacy Policy, incorporated herein by reference. These Terms may change from time to time in our sole discretion, and all changes are effective immediately upon being posted. If you do not want to agree to these Terms, you must immediately Opt Out of using the Text Message Service and no longer use it. Your continued use of the Text Messaging Service after we make changes is deemed to be acceptance of those changes, so please check these Terms periodically for updates.

The Text Messaging Service is offered and available to users who are eighteen (18) years of age or older and reside in the United States or any of its territories or possessions. By using the Text Messaging Service, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all the foregoing eligibility requirements. If you do not meet all these requirements, you must not access or use the Text Messaging Service.

2. Definitions

Company,” “our,” “we,” or “us” means DOT Compliance Group, LLC.

Opting In,” “Opt In,” and “Opt-In” refer to requesting, joining, agreeing to, enrolling in, signing up for, acknowledging, responding to, or otherwise consenting to receive the Text Message Service.

Opting Out,” “Opt Out,” and “Opt-Out” refer to refusing, retracting consent to, unenrolling in, or otherwise not consenting to receive the Text Message Service.

Personal Information” means information by which you may be personally identified, such as name, postal address, email address, telephone number, or any other identifier by which you may be contacted via Text Message, online, or offline

Terms” means these Text Messaging Terms of Use.

Text Message” is an electronic message sent from one cell phone to another, and includes but is not limited to SMS, MMS, RCS, or successor protocols or technologies.

Text Message Service” includes any arrangement or situation in which we send one or more messages addressed to your mobile phone number, including Text Messages.

Website” means www.dotcompliancegroup.com.

3. Opting In and Written Record

To receive our Text Message Service, you can Opt In on our Website, in conversation with one of our customer service representatives, via Text Message, or any other means that is made available to you.

By agreeing to receive the Text Message Service, you also consent to the use of a written record to document your agreement. This written record may:

  • Record your verbal Opt-In as given to one of our customer service representatives in person or over the phone.
  • Record your written Opt-In via Text Message, email, or other written means, including without limitation your checking of a checkbox on an online form on our Website.
  • Record your initiation of a Text Message to us, which will constitute express written consent.

You may withdraw your consent to the Text Message Service at any time by replying STOP to any Text Message sent from Company to you.

4. Opting Out of Text Messages

If you no longer want to receive our Text Message Service, you may reply to any Text Message with STOP, QUIT, END, CANCEL, STOPALL or UNSUBSCRIBE. After unsubscribing, we may send you confirmation of your opt-out via text message.

5. Cost of Text Messages

We do not charge you for the messages you send and receive via this Text Message Service. However, message and data rates may apply, so depending on your plan with your wireless or other applicable provider, you may be charged by your carrier or other applicable provider.

6. Frequency of Text Messages

This Text Messaging Service is for communication between you and us. We may send you an initial Text Message providing details about the service. After that, the number of Text Messages you receive will vary depending on how you use our Company’s services and whether you take steps to generate more Text Messages from us (such as by requesting help, etc.).

7. Eligibility

To receive Company text messages or use the Text Messaging Service, you must be a resident of the United States, eighteen (18) years of age or older, authorized to enroll the mobile phone number in the Text Messaging Service, and authorized to incur any mobile message or data charges incurred by participating. Company reserves the right to require you to prove the foregoing to participate in the Text Messaging Service.

8. Your Mobile Phone Number

You represent that you are the account holder for the mobile telephone number(s) that you provide or that you have the account holder’s permission to enter the mobile telephone number(s) that you provide and that you will not initiate messages to the mobile phone of any other person or entity.

You agree to maintain accurate, complete, and up-to-date information with Company regarding your use of the Text Message Service, including, without limitation, notifying Company in writing immediately if you change, or cease being the regular user of, your mobile telephone number.

You agree to indemnify Company in full for all claims, expenses, damages, and costs, including reasonable attorneys’ fees, related to or caused in whole or in part by your failure to notify Company if you change your telephone number, or cease being the regular user of, including, but not limited to, all claims, expenses, damages, and costs related to or arising under the Telephone Consumer Protection Act, 47 U.S.C. § 227 et seq.

9. Prohibited Uses

You may use the Text Message Service only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Text Message Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • To impersonate or attempt to impersonate the Company, a Company employee, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Text Message Service, or which, as determined by us, may harm the Company or users of the Website, or expose them to liability.

10. Interruption

The Text Message Service should be available through your mobile device when the device is within operating range of your wireless service provider. The Text Message Service may not be available on all mobile devices, or through all wireless carriers, and not all functionalities of the Text Message Service are available on all mobile devices, or through all wireless carriers. Company may, from time to time, in its discretion and without notice to you, limit the carriers that support the Text Message Service. Certain other carriers may not support the Text Message Service.

Delivery of information and content to your mobile device may fail due to a variety of circumstances or conditions. The Text Message Service is subject to transmission limitation or interruption. You understand and acknowledge that mobile network services are outside of Company’s control, and Company is not responsible or liable for issues arising therefrom, or the failure thereof, including, without limitation, technical, hardware, software, electronic, network, telephone, or other communications malfunctions, errors or failures of any kind, errors in transmission, traffic congestion, lost or unavailable network connections, telephone connections, wireless phone connections, website, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled, or delayed transmissions which may limit or restrict your ability to receive or send a message, including any injury or damage to your or any other person’s wireless device relating to or resulting from participating in or using the Text Message Service. If the Text Message Service is not available within your intended location, you agree that your sole remedy is to cease using the Text Message Service.

 

11. Termination

Company may suspend or terminate your use of Text Message Services if Company believes you are in breach of these Terms. Your receipt of Text Messages from Company is also subject to termination in the event that your mobile telephone service terminates or lapses. Company reserves the right to modify or discontinue, temporarily or permanently, all or any part of the Text Message Service, for any reason, with or without notice to you.

12. Release, No Warranties, and Limitation on Liability

By participating in the Text Message Service, you agree to release and hold harmless Company and its representatives, agents, successors, assigns, employees, officers and directors, from any and all liability, for loss, harm, damage, injury, attorneys’ fees, cost or expense whatsoever including without limitation, property damage, personal injury and death that may occur in connection with the Text Message Service, or your use thereof, and for any claims, matters, or disputes based on violation of law or infringement or violation of any rights of any person or entity, including, without limitation, violation of publicity rights, defamation, or invasion of privacy.

THE TEXT MESSAGE SERVICE IS PROVIDED AS IS, WHERE IS AND WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, WRITTEN, ORAL OR ARISING UNDER CUSTOM OR TRADE. COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COLLECTIVE LIABILITY OF THE COMPANY AND ITS SUBSIDIARIES AND AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED THE LESSER OF TWO HUNDRED FIFTY AND NO/100 DOLLARS ($250.00) OR THE MONETARY AMOUNT YOU HAVE PAID TO THE COMPANY FOR THE APPLICABLE CONTENT, PRODUCT, OR SERVICE IN THE LAST SIX MONTHS OUT OF WHICH LIABILITY AROSE.

The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

13. Arbitration

At the Company’s sole discretion, it may require you to submit any disputes arising from these Terms or use of the Text Message Service, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Texas law.

14. Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

15. Waiver and Severability

No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16. Privacy

We respect your privacy. This section describes the types of information we may collect from you or that you may provide when you Opt In to or use a Text Message Service and our practices for collecting, using, maintaining, protecting, and disclosing that information. This section solely applies to information we collect through Text Messaging Services.

Information We Collect and How We Collect It. We collect:

  • Your Personal Information.
  • All content of the Text Messages between Company and you, including metadata and message contents.
  • Written records of your consent, as described above.

We collect this information directly from you when you provide it to us and automatically as you use the Text Message Service.

If you use our Website in conjunction with your use of the Text Message Service, we may collect additional information about you through your use of the Website, and our collection of such additional information is governed by our Privacy Policy.

How We Use Your Information. We use the above-described information to transmit your Text Messages and respond to you, to provide you with information, products, or services you request from us, and for any other purpose with your consent. This includes, but is not limited to, sharing information with platform providers, phone companies, and other vendors who assist us in the delivery of Text Messages.

WE DO NOT SELL, RENT, LOAN, TRADE, LEASE, OR OTHERWISE TRANSFER FOR PROFIT ANY PHONE NUMBERS OR CUSTOMER INFORMATION COLLECTED THROUGH THE SERVICE TO ANY THIRD PARTY. Nonetheless, we reserve the right always to disclose any information as necessary to satisfy any law, regulation or governmental request, to avoid liability, or to protect our rights or property.

This section applies to your use of the Text Message Service and is not intended to modify our general Privacy Policy, incorporated by reference above, which may govern the relationship between you and us in other contexts.

17. Data Security

We implement reasonable measures to protect the data collected through our Text Message Service, including encryption and secure storage. However, the transmission of information via the internet is not completely secure. Although we do our best to protect your Personal Information, we cannot guarantee the security of your Personal Information transmitted through the Text Message Service. Any transmission of Personal Information is at your own risk.

18. Entire Agreement

These Terms, the Terms of Use, and our Privacy Policy constitute the sole and entire agreement between you and DOT Compliance Group, LLC with respect to the Text Message Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Text Message Service.
